Crocs, Inc. is a Colorado maker of unique clogs that are extremely popular among men and women. Crocs gained popularity in the early 2000s. They’re inexpensive shoes that rely on Croslite, a proprietary closed-cell resin material used to produce slip-resistant, lightweight, non-marking, odor-resistant soles.
Croslite also softens with body heat, molding the shoe to the wearer’s foot. This provides a comfortable fit.
Crocs were originally intended for boat use and outdoor activities such as hiking, gardening, and fishing. However, its use has extended to individuals who spend much time standing, like healthcare and restaurant workers.
Let’s look at Crocs, Inc.’s history, acquisitions, and trademarks.
Crocs Company History
Lyndon “Duke” Hanson and George Boedecker Jr. founded Crocs to produce and distribute foam clog. They acquired the product’s design from Foam Creations, Inc., in Quebec City.
Crocs were initially created as boating shoes. The first shoe made for this purpose was called the “Beach,” launched in 2001 at the Fort Lauderdale Boat Show in Florida. The company sold out all the 200 pairs it had produced for the show.
Today, Crocs, Inc. has sold over 300 million pairs of shoes. The company also moved its headquarters in June 2020 to Broomfield from Niwot, Colorado.
After enjoying rapid growth and success, Crocs became a public company in February 2006, completing a successful initial public offering of its common stock. It began trading in NASDAQ under the symbol CROX.
Despite great early success, one of the lowest performances for the company was on October 30, 2007, when it announced decreased revenue projections. The stock market price plummeted by 24%. Further turmoil would hit on April 14, 2008, after stock prices dipped 30% amid the 2007-2008 financial crisis.
The dip in stock price during the after-hours of trading prompted the company to issue a revenue warning to its shareholders, steeply decreasing its revenue estimates for the first quarter. In the same statement, the company also noted that it would be laying off 600 Quebec City factory workers, albeit retaining 100 sales and marketing positions.
Retailers in Quebec City had already been reducing orders.
After dropping to an all-time low of $0.79 per share, Crocs, Inc. rebounded by November 2010, with stock prices rising to $15.50. However, the company faced another drastic 39.4% dip in stock price on October 18, 2011, after reporting earnings and revenue forecasts below expectations.
In June 2013, the stocks fell further, with Crocs reporting a 42.5% dip in net profits from the previous year, resulting in a 20.2% dip in the stock price in a single day.
The Blackstone Group announced a $200 million investment in Crocs, Inc. through a convertible preferred stock offering. The investment would allow the company to buy back $350 million in stock and replace its CEO.
On July 21, 2014, Crocs announced a disruptive restructuring plan to streamline operations and its workforce. The company eliminated 180 jobs, closed 75 to 100 stores, and scrapped underperforming product lines.
Previously, the company had eliminated 183 positions, including 70 planned and current roles in its headquarters in Niwot, Colorado. In August 2018, Crocs announced the closure of its last manufacturing plants operated by the company in Italy and Mexico.
Crocs Acquisitions
Despite the financial struggles, Crocs acquired several notable players in the industry. In October 2006, the company acquired Jibbitz, a manufacturer of accessories that fit in the holes of Croc shoes. The deal closed at $10 million or $20 million if Jibbitz would meet its earnings targets.
Crocs, Inc. acquired assets from Ocean Minded in January 2007, closing the deal for $1.75 million in cash plus $3.75 million based on performance. Ocean Minded manufactures ethylene-vinyl acetate-based and leather footwear.
Crocs also agreed to purchase Bite Footwear, a shoe and sandal maker, on July 2007. The deal closed for $1.75 million or double the amount if the earnings are good.
Crocs’ subsequent acquisition was on April 2008, buying Tidal Trade, Inc. for $4.6 million. Tidal Trade was Crocs’ third-party distributor in South Africa. On the date of the acquisition, the company recorded $1.4 million in customer relationships.
That same month, Crocs acquired Tagger International B.V., commonly known as Tagger, for $2 million. Tagger was officially recognized under Dutch law as a manufacturer of messenger bags. The Managing Director of Crocs Europe B.V partially owned Tagger.
Out of the $2 million, $90,000 was for inventory and $1.9 million for the Tagger trademark.
Crocs Trademarks
Crocs has sought or obtained federal trademark registration for about 35 trademarks. These include “GOLACES,” “LITERIDE,” and “CROC DAY.”
On October 14, 2008, Crocs obtained a federal trademark registration for “GOLACES” and uses the trademark for footwear accessories in the nature of shoe fasteners.
Crocs also obtained federal trademark registration for “LITERIDE” on August 28, 2018. The company uses the trademark for semi-processed closed-cell polymer resin foam used to manufacture footwear.
